AstroNomad provides web design, development, maintenance, and digital marketing services. The specific scope of work for your project will be outlined in a separate proposal or statement of work that will be provided to you after consultation.

We reserve the right to refuse service to anyone for any reason at any time.

We guarantee that the services we provide will be delivered with reasonable skill and care. However, we cannot guarantee that our websites or services will be error-free or uninterrupted, or that our services will deliver any specific business or revenue results.

3. Intellectual Property Rights

Unless otherwise stated, we own the intellectual property rights for all material on our website. All intellectual property rights are reserved.

For material you provide to us for inclusion on your website, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute such material in any media. 4. Payment Terms

Our payment terms for web design and development projects typically include:

  • A 50% deposit required before work begins
  • The remaining 50% due upon completion of the project before the website goes live
  • For larger projects, we may arrange additional milestone payments

For ongoing services such as maintenance or hosting:

  • Monthly, quarterly, or annual subscription payments are made in advance
  • Recurring payments will be automatically billed unless canceled

If you fail to make any payment due to us within 30 days of the due date, we may:

  • Suspend all services until payment has been made in full
  • Charge interest on the overdue amount at 4% per annum above the Bank of England base rate
  • Retain all intellectual property rights until payment is received

5. Website Maintenance

Our website maintenance services typically include:

  • Regular software and plugin updates
  • Security monitoring and malware scanning
  • Regular backups of your website
  • Basic content updates (as specified in your maintenance plan)

We offer different levels of maintenance services, each with specific inclusions and response times. Details of what is included in your particular maintenance plan will be specified in your service agreement.

We will use reasonable efforts to ensure that your website remains available and secure, but we cannot guarantee 100% uptime or security. In the event of a security breach or website downtime, we will work diligently to restore service as quickly as possible.

6. Client Responsibilities

As our client, you are responsible for:

  • Providing accurate and timely information, content, and feedback necessary for the project
  • Reviewing and approving work at designated project milestones
  • Ensuring that any content you provide does not infringe upon any third-party rights
  • Making payments according to the agreed schedule
  • Obtaining any necessary licenses for third-party assets (such as fonts, images, or plugins) unless we have specifically agreed to provide these

7. Project Timelines

We will provide estimated timelines for your project in our proposal. While we make every effort to meet these timelines, they are estimates and not guaranteed completion dates.

Delays can occur due to various factors, including but not limited to:

  • Changes to the original project scope
  • Delayed client feedback or content provision
  • Technical complications or third-party delays

If we anticipate any significant delays to the project timeline, we will communicate these to you as soon as possible.

8. Termination

Either party may terminate the service agreement under the following conditions:

  • By the Client: You may terminate the agreement at any time by providing written notice. However, you will be liable for payment for all work completed up to the date of termination.
  • By AstroNomad: We may terminate the agreement if you breach any of these terms and conditions, particularly regarding payment, or if we are unable to deliver the services due to circumstances beyond our control.

For ongoing maintenance services:

  • Maintenance agreements may be canceled with 30 days' written notice
  • No refunds will be provided for prepaid maintenance services

9. Limitation of Liability

To the maximum extent permitted by applicable law, we will not be liable for:

  • Any indirect, consequential, exemplary, incidental, special, or punitive damages
  • Lost profits or revenues
  • Lost data or content
  • Any business interruption or downtime costs

Our total liability for any claim arising out of or relating to these terms shall not exceed the amount paid by you for the services in the twelve months preceding the claim.

10. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United Kingdom, and you submit to the exclusive jurisdiction of the courts located in the United Kingdom for the resolution of any disputes.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. It is your responsibility to check these terms periodically for changes.
